Default Good Upgrade? Lag-Free?

Well, I'm in need of a upgrade. atm i have some pos intel p4 2.2ghz, 512gb and a fx5500 .
My budget is roughly 700$ max

I was looking for an AMD processor but my friend showed me these new intel conroes instead?

Basically, I'm looking at these..

processor:

Ram: (will get another of the same to put in dual chan)
http://www.newegg.com/Product/Produc...82E16820145153

Motherboardis this good for ocing? and how about the ram)

Harddrive:
http://www.newegg.com/Product/Produc...82E16822148140

Cooling:
The Zalman 9550

I have everything else, mouse+pad, keyboard, monitor etcccc..

And for video card.. my friend has connections and can hook me up with a x1900xt or something for less than 250 later on.

Anyways, will this setup be an excellent multi tasker? I usually run WMP 10, mIRC, 2 firefox windows, msn, Bitcomet/Limewire? CS/WC3 Minimized and some other background programs, i.e anti virus, firewall.
But with my pos p4 it's like lagtron 64. takes up to like 600mb in PF Usage.

The setup I'm currently working with is very baad. I only get 20-fps~ in guildwars @ 1024x768

So yeahh.. I should expect this setup to run EVERYTHING smoothly right? and more

All the parts seem compatible, CPU seems a great deal, great video card. Can we get some specs on the PSU though?
That would be a help :P

The C2 is not a bad processor, but I think it is incredibly overpriced for what you are getting. And if you think about it, you are considering sinking over $200 into what is essentially an overblown 2.13 GHz processor. At the lower end of the spectrum, it reminds me a lot of the "Overdrive" processors of a decade ago.

Plus remember, this is essentially the 2nd lowest "budget" processor of the line. For around the same money, you can get an AM2 Athlon X2 4600. It may not have the desired "Core 2" logo, but what do you want, name or performance?

In most tests I read, the E6400 runs pretty much neck-and-neck with the Athlon X2 4000. And retail, those sell at NE for around $185. Basically, I tell people not to bother with the Core2 unless they are willing to sink in at least $400-500 for a CPU. That is where the price/performance curve finally starts to meet up.

The Core2 may be faster, but when you are talking about the lower ended ones, they are not a deal. The same money can be spent on AM2, and the speed of the higher-end processor will more then make up for any advantage of Core2.

and that's why I'm getting that motherboard.. to overclock it. it'll hit 2.8 safely with a decent cooler. and that's already better than amd fx-62
and I haven't seen much good overclocks with the amd dual cores. they need really good coolers or else you won't get much out of it. Also, I need it more for multitask.. and intel has been proven that it multitasks better than the amd.
